1. Scope and Application

These Terms of Service (“Terms”) govern the use of the website operated by Alpine Business Consulting (“we”, “us”, or “our”), headquartered at Bleicherweg 10, 8002 Zurich, Switzerland, and the provision of our consulting services. By accessing our website or engaging our services, you agree to be bound by these Terms.

For specific consulting engagements, separate agreements or statements of work may apply, which shall take precedence over these general Terms in case of conflict.

2. Services Description

Alpine Business Consulting provides technology consulting services including, but not limited to:

  • Enterprise Performance Management (EPM) strategy and implementation
  • Business Intelligence and analytics solutions
  • Data management, governance, and architecture consulting
  • Cloud migration and infrastructure advisory
  • Data science and machine learning project delivery
  • Strategic technology assessment and roadmap development

The specific scope, deliverables, timeline, and fees for each engagement are defined in individual proposals or statements of work agreed upon with the client.

3. Engagement Process

Our standard engagement process includes:

  • Initial Consultation: Discovery call to understand your requirements and challenges
  • Proposal: Detailed proposal including scope, approach, timeline, and investment
  • Agreement: Formal acceptance and contract execution
  • Project Execution: Structured delivery with regular progress updates
  • Completion: Final deliverables and knowledge transfer

4. Client Obligations

To enable successful project delivery, clients agree to:

  • Provide timely access to necessary information, systems, and personnel
  • Designate a primary point of contact with decision-making authority
  • Review and provide feedback on deliverables within agreed timeframes
  • Ensure that all information provided is accurate and complete
  • Comply with payment terms as specified in the engagement agreement

5. Fees and Payment

Fees for our services are specified in individual proposals or statements of work. Unless otherwise agreed:

  • Invoices are payable within 30 days of invoice date
  • All fees are quoted in Swiss Francs (CHF) unless otherwise specified
  • Travel and out-of-pocket expenses are billed at cost with prior approval
  • Late payments may incur interest at the rate permitted by Swiss law

6. Intellectual Property

Unless otherwise agreed in writing:

  • Pre-existing intellectual property remains the property of its original owner
  • Deliverables created specifically for the client become the client's property upon full payment
  • We retain ownership of our methodologies, frameworks, tools, and general know-how
  • We may use anonymized project learnings to improve our services and methodologies

7. Confidentiality

We maintain strict confidentiality regarding all client information. We will not disclose confidential information to third parties without prior written consent, except as required by law. This obligation survives the termination of any engagement. Separate non-disclosure agreements may be executed upon request.

8. Limitation of Liability

Our consulting services are provided as professional advice and recommendations. Implementation decisions remain the client's responsibility. To the maximum extent permitted by law:

  • Our liability is limited to the fees paid for the specific engagement
  • We are not liable for indirect, consequential, or special damages
  • We are not responsible for third-party products, services, or implementations
  • Any claims must be brought within one year of the relevant event

9. Termination

Either party may terminate an engagement with 30 days written notice. In case of termination:

  • Client shall pay for all services rendered and expenses incurred to date
  • We will deliver all completed work product
  • Confidentiality obligations survive termination

Either party may terminate immediately for material breach that remains uncured after 14 days written notice.

10. Website Use

By using our website, you agree to:

  • Use the website only for lawful purposes
  • Not attempt to gain unauthorized access to our systems
  • Not reproduce, distribute, or modify website content without permission
  • Accept that website content is provided for informational purposes only

11. Governing Law and Jurisdiction

These Terms are governed by Swiss law. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland. Before initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our website or services after changes constitutes acceptance of the modified Terms. For active engagements, changes to Terms require mutual written agreement.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely achieves the intended purpose.
